Terms of Service
Last updated: 13 October 2026
These terms explain how PayTraka works with your business: what we provide, what we each are responsible for, and the rules for using the Service. Please read them together with our Privacy Policy.
1. About these terms
These Terms of Service (“Terms”) are an agreement between PayTraka (“PayTraka”, “we”, “us”) and the business that creates a PayTraka account (“you”). They cover the PayTraka website, customer app, Agent panel and related services (the “Service”).
By creating an account or using the Service you agree to these Terms and our Privacy Policy. If you accept them for a company, you confirm you are at least 18 and have authority to bind that company.
2. The Service
PayTraka lets you create, post, send and store e-invoices, credit and debit notes and receipts; manage customers, products, branches and users; import invoices from files and connected accounting systems; and, if you choose, validate and transmit invoices to the Nigeria Revenue Service (NRS) e-invoicing system.
PayTraka is a technology provider. We are not your tax adviser or accountant, and using the Service does not by itself make you compliant with any tax law.
3. Accounts, users and roles
The account owner controls who can use your account and what each user can do. You are responsible for everything done through your account, for keeping passwords confidential, and for removing access for people who leave your business. Tell us promptly at support@paytraka.com if you suspect unauthorised use.
4. Your responsibilities
- Make sure the information you enter or import is accurate and complete, including customer and supplier TINs, amounts, VAT treatment and product or service classification codes (HSN or service codes).
- Review invoices and notes before you post them or send them to NRS. Posted documents are numbered and locked, and corrections are made with credit or debit notes.
- Keep your NRS credentials valid and up to date, and only provide credentials you are authorised to use.
- Remain responsible for your tax obligations, filings, payments and record keeping, and for having a lawful basis to share your customers' and suppliers' data with us.
5. NRS submissions
When you submit an invoice, we transmit it to NRS on your instruction using the credentials you provide. NRS operates its own systems: we do not control their availability, rules or decisions, and we cannot guarantee that a submission will be accepted or processed within a particular time. Readiness checks in PayTraka help you find problems early but do not guarantee acceptance. Keep your own copies of your records.
6. Plans, trials and payment
Paid plans are billed in Naira for the period shown when you subscribe (monthly or yearly), plus any applicable taxes. A free trial, if offered, ends on the date shown in your account. Plans renew for the same period unless cancelled before the renewal date. Some features are only available on certain plans.
Payments may be made through our payment provider or, where arranged, by invoice through a PayTraka agent. If payment is overdue we may limit or suspend access after notice. Unless stated otherwise in writing or required by law, fees already paid are not refundable.
7. PayTraka agents
Some accounts are opened or managed by authorised PayTraka agents, who may see your company's account and subscription details in order to help you. Agents act under separate agreements with PayTraka and cannot change these Terms.
8. Your data
You own the data you put into PayTraka. You allow us to host, copy, process and transmit it only as needed to provide and support the Service, as described in our Privacy Policy. You can export your records while your account is active. After your account ends we keep records for the periods required by law and then delete them.
9. Acceptable use
You must not:
- use the Service for anything unlawful, including issuing false or misleading invoices or evading tax;
- upload malicious code, probe or attack our systems, or try to access other customers' data;
- copy, resell or reverse-engineer the Service, or use it to build a competing product;
- share user accounts, or send unsolicited messages to people through the Service.
We may suspend accounts that break these rules or put the Service or other customers at risk.
10. Third-party services
The Service connects with services we do not control, such as NRS, accounting systems you connect (for example ERPNext or Sage), payment providers and email providers. Their own terms apply to your use of them, and we are not responsible for their availability or actions.
11. Our intellectual property
PayTraka, its software, design and content belong to us or our licensors. We give you a non-exclusive, non-transferable right to use the Service for your business while your account is in good standing. Feedback you give us may be used to improve the Service.
12. Availability and changes
We work to keep the Service available and secure, but it may sometimes be interrupted for maintenance, updates or reasons outside our control. We may improve or change features over time; if a change significantly reduces a paid feature you rely on, we will tell you in advance where reasonably possible.
13. Disclaimers
Except as expressly stated in these Terms, the Service is provided “as is” and “as available”, and to the extent permitted by law we exclude implied warranties, including fitness for a particular purpose and that the Service will be error-free or uninterrupted.
14. Limitation of liability
To the extent permitted by law, PayTraka is not liable for indirect or consequential loss, loss of profit, revenue or data, or for penalties or charges arising from information you entered, submissions you made, or the acts of NRS or other third parties.
Our total liability for all claims in any 12-month period is limited to the fees you paid us for the Service in that period. Nothing in these Terms limits liability that cannot be limited under Nigerian law, including for fraud.
15. Indemnity
You will compensate PayTraka for losses and reasonable costs arising from claims caused by your unlawful use of the Service, or by data you provided without the right to do so.
16. Suspension and termination
You can stop using the Service and cancel your plan at any time; cancellation takes effect at the end of the paid period. We may suspend or end your access if you seriously or repeatedly breach these Terms, if payment is overdue after notice, or if the law requires it. Sections about your data, fees owed, intellectual property, liability and governing law continue after termination.
17. Changes to these Terms
We may update these Terms from time to time. We will post the new version here with a new “Last updated” date and, for significant changes, tell you in the app or by email before they take effect. Continuing to use the Service after that means you accept the updated Terms.
18. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. We will first try to resolve any dispute with you in good faith; if that fails within 30 days, the dispute will be decided by the courts of Lagos State, Nigeria.
